Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and MSK Tech (“MSK Tech,” “we,” “us,” or “our”) and govern your use of our website, platforms, and the operational infrastructure and technology services we provide. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing our website or engaging our services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

2. Our Services

MSK Tech provides operational infrastructure and technology solutions, including backend operational support, ERP system development, AI and AI agent integration, and business software integration. The specific scope, deliverables, and fees for any engagement are defined in a separate written proposal, statement of work, or order form (“Service Agreement”). In the event of a conflict, the Service Agreement controls for that engagement.

3. Eligibility and Accounts

You must be at least 18 years old and able to form a legally binding contract to use our services. If we provide you with account credentials, you are responsible for maintaining their confidentiality and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

4. Acceptable Use

You agree not to misuse our services. You will not, and will not permit others to:

• Use the services in violation of any applicable law or regulation;
• Interfere with, disrupt, or attempt to gain unauthorized access to our systems or networks;
• Reverse engineer, copy, or resell any part of our services except as expressly permitted;
• Upload malicious code or content that infringes the rights of others.

5. Client Materials and Data

You retain all rights to the data, content, and materials you provide to us (“Client Materials”). You grant MSK Tech a limited license to use Client Materials solely to deliver and support the services. You are responsible for ensuring you have the rights necessary to share Client Materials with us.

6. Intellectual Property

All rights, title, and interest in our website, platforms, methodologies, and underlying technology remain the exclusive property of MSK Tech and its licensors. Unless otherwise agreed in writing, ownership of custom deliverables is addressed in the applicable Service Agreement. No rights are granted except as expressly stated in these Terms.

7. Fees and Payment

Fees are set out in the applicable Service Agreement. Unless stated otherwise, invoices are due within the period specified on the invoice. Late amounts may accrue interest, and we may suspend services for non-payment. All fees are exclusive of applicable taxes.

8. Confidentiality

Each party may access confidential information of the other. The receiving party will protect such information with reasonable care and use it only to perform under these Terms, except where disclosure is required by law.

9. Warranties and Disclaimers

We provide our services with reasonable skill and care. Except as expressly stated, our website and services are provided “as is” and “as available,” and we disclaim all other warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, MSK Tech will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data. Our total aggregate liability arising out of or relating to the services will not exceed the amounts paid by you to MSK Tech for the services giving rise to the claim in the twelve months preceding the event.

11. Indemnification

You agree to indemnify and hold MSK Tech harmless from claims, damages, and expenses arising from your breach of these Terms, your Client Materials, or your unlawful use of the services.

12. Term and Termination

These Terms remain in effect while you use our services. Either party may terminate an engagement as set out in the applicable Service Agreement. We may suspend or terminate access immediately if you materially breach these Terms. Provisions that by their nature should survive termination will survive.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which MSK Tech is established, without regard to conflict-of-law principles. The courts of that jurisdiction will have exclusive jurisdiction over any disputes, subject to any dispute-resolution terms in your Service Agreement.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of our services after changes take effect constitutes acceptance of the updated Terms.
